Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and 77SPARX Inc. (“77SPARX,” “we,” “us,” or “our”), the developer of PlannerAI (“the Service,” “the App”). By creating an account, downloading the application, or otherwise accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, do not access or use the Service. Your continued use of the Service after we post modifications constitutes your acceptance of those changes.

AI Feature Notice. Artificial intelligence is core to how PlannerAI functions. By using the Service, you agree to the data handling practices described in the AI Features section below and in our Privacy Policy.

Eligibility

You must be at least 18 years of age to use PlannerAI. By creating an account or otherwise using the Service, you represent and confirm that you are 18 years of age or older. If you are under 18, you may not use the Service.

PlannerAI is offered for individual use. While you are welcome to use the Service in connection with your professional work, each account is personal to the individual user. You are agreeing to these Terms on your own behalf as an individual, not on behalf of your employer or any other organization, unless you have separately entered into an organizational agreement with us.

We reserve the right to refuse access to the Service to any person. Access is void where prohibited by applicable law.

Service Tiers & Access

PlannerAI is offered in different access tiers from time to time, which may include early access or beta programs, standard paid subscriptions, and other configurations. The specific terms applicable to your access tier are communicated at the time of sign-up and may be updated as the Service evolves.

Early Access & Beta

If you are accessing the Service through an early access or beta program, you additionally acknowledge the following:

  • The Service is under active development and may contain bugs, errors, and incomplete features.
  • As we develop and improve the product, we may make changes to how data is stored and structured. Despite our best efforts to preserve your data through such changes, there is a possibility of data corruption or loss during this period. We strongly recommend maintaining your own records of important tasks and commitments.
  • Features available during early access may not be available in, or may be substantially modified before, any subsequent release.
  • Early access may be modified, suspended, or discontinued at any time without prior notice or liability.
  • Your feedback, bug reports, and suggestions submitted during early access are welcomed and may be used to improve the Service without compensation to you.

All Access Tiers

Regardless of access tier, we may change, update, or discontinue features of the Service at any time. We will make reasonable efforts to communicate significant changes in advance where practical.

Data Continuity. We work hard to protect your data through every stage of development. That said, we are a growing product and cannot guarantee uninterrupted data continuity across all product updates. Maintain your own records of anything critical to your work.

Account & Access

Creating an Account

To use PlannerAI, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

Sign-In Authentication

We support sign-in via third-party identity providers (such as Google) using the OAuth 2.0 authorization protocol. When you use this option, the identity provider handles authentication on its own servers and provides us with a verified identity. We never receive or store your password for the identity provider.

Account Security

You agree to notify us immediately at [email protected] of any unauthorized use of your account. We are not liable for losses resulting from unauthorized access due to your failure to safeguard your credentials.

License to Use

Subject to these Terms, 77SPARX grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use PlannerAI on devices you own or control, solely for your personal or internal business productivity purposes.

You may not, and may not permit others to:

  • Copy, modify, adapt, translate, or create derivative works based on the Service or any part of it;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service;
  • Sublicense, sell, resell, transfer, or otherwise make the Service available to third parties;
  • Use the Service, or any information, algorithms, or techniques derived from it, to develop, offer, or promote any product or service that competes with, substitutes for, or is substantially similar to the Service;
  • Remove, obscure, or alter any proprietary notices, labels, or branding in the Service.

You acknowledge that any breach of the competitive use restriction above would cause irreparable harm to 77SPARX for which monetary damages would be an inadequate remedy. Accordingly, 77SPARX shall be entitled to seek injunctive relief, specific performance, and any other equitable or legal remedy available, in addition to recovering all damages, costs, and attorneys’ fees incurred as a result of such breach. This license terminates automatically upon any violation of these Terms.

Your Data

You retain ownership of the data, content, and information you input into PlannerAI, including tasks, notes, calendar information, and other user-generated content (“Your Data”).

By using the Service, you grant 77SPARX a limited, worldwide, royalty-free license to use, store, process, and display Your Data as necessary to provide and improve the Service — including the AI features and product improvement uses described in our Privacy Policy.

You are solely responsible for the accuracy, legality, and completeness of Your Data, and for ensuring you have the rights to transmit it through the Service.

Data Portability & Deletion

You may request an export of Your Data or account deletion at any time by contacting us at [email protected]. Please review our Privacy Policy for details on retention timelines following account closure.

Feedback

If you submit feedback, suggestions, bug reports, or ideas about the Service, you grant 77SPARX a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and build upon that feedback for any purpose — including support, product improvement, marketing, and other business uses — without obligation or compensation to you.

AI Features

Artificial intelligence is fundamental to how PlannerAI works. The Service uses AI to power a range of capabilities including, but not limited to, task prioritization, intelligent scheduling, workflow analysis, focus assistance, smart recommendations, and other automated features. These capabilities are core to the Service and improve over time as we learn more about how users work.

How AI Processes Your Data

All AI processing occurs on our servers, including any calls to third-party large language model providers. There are no direct calls from the application to external AI services. For complete details on how your data is used for AI features and service improvement, see our Privacy Policy.

AI Outputs Are Advisory

All AI-generated outputs — priorities, schedules, focus guidance, recommendations — are advisory only. You retain full control over all decisions, actions, and changes to your workflow. We make no warranty that AI outputs are accurate, complete, or appropriate for your circumstances, and 77SPARX shall not be liable for any decisions made in reliance on AI-generated outputs.

Acceptable Use

You agree not to use PlannerAI to:

  • Violate any applicable law or regulation;
  • Infringe the intellectual property or privacy rights of any third party;
  • Transmit malicious code, viruses, or harmful data;
  • Attempt to gain unauthorized access to our systems or another user’s account;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Scrape, crawl, or use automated means to access the Service beyond normal usage;
  • Reverse engineer or use the Service to create a competitive product or service;
  • Use the Service in any manner that could damage 77SPARX’s business interests, reputation, or the experience of other users.

Violation of this section may result in immediate termination of your account without notice.

Billing & Payment

Pricing & Plans

PlannerAI may offer a variety of access plans and pricing options, including subscriptions billed on a recurring basis and one-time purchases. Specific pricing, plan details, and billing frequency are presented at the time of purchase and are subject to change with notice.

Subscriptions & Top-Ups

Subscription plans provide ongoing access to the Service and are billed in advance on a recurring basis according to the plan you select. We may also offer one-time top-up purchases for additional features or usage. The terms of each purchase type are presented clearly before you complete a transaction.

Subscription Cancellations & Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period — you retain access through the period you have paid for. We do not offer prorated refunds for partial subscription periods, except where required by applicable law.

Top-up purchases are non-refundable once used. Unused top-ups may be eligible for refund at our discretion.

Consumers in the European Union and United Kingdom have the right to withdraw from a purchase within 14 days of the initial transaction, provided the Service has not been materially used during that period.

Price Changes

We may adjust pricing at any time. We will make reasonable efforts to communicate price changes in advance. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

Taxes

You are responsible for any applicable taxes on your purchases. We may collect and remit taxes where required by law.

Intellectual Property

The Service, including all software, algorithms, designs, text, graphics, interfaces, logos, and other content (excluding Your Data), is owned by 77SPARX or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited license granted in the License to Use section above. You may not use our trademarks, logos, or branding without our prior written consent.

Disclaimers & Limitation of Liability

Please read carefully. This section contains important limitations on our liability, which apply to the fullest extent permitted by applicable law.

Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 77SPARX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) $50 USD.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU IN FULL.

Termination

Either party may terminate this agreement at any time. You may close your account through the application settings or by contacting us. We may suspend or terminate your access with or without notice for violation of these Terms, or for any other reason at our sole discretion.

Upon termination, your license to use the Service ends immediately. Please review our Privacy Policy for data retention practices following account closure. The following sections survive termination of these Terms: Your Data, AI Features, Intellectual Property, Disclaimers & Limitation of Liability, Indemnification, and Governing Law.

Indemnification

You agree to defend, indemnify, and hold harmless 77SPARX and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Service in violation of these Terms; (b) Your Data; (c) your violation of any law or the rights of a third party; or (d) your negligence or willful misconduct.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. 77SPARX Inc. is incorporated in the State of Delaware.

Any dispute arising from or related to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and you consent to personal jurisdiction in such courts.

Nothing in these Terms shall prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect against actual or threatened infringement of intellectual property rights or breaches that would cause irreparable harm.

Changes to These Terms

We may update these Terms from time to time as the Service evolves. When we do, we will revise the “Last updated” date at the top of this page. For material changes, we will make reasonable efforts to notify you — such as by posting a notice within the application or sending an email to your registered address.

Your continued use of the Service after any update to the Terms constitutes your acceptance of the revised Terms. We encourage you to review this page periodically to stay informed.
